Neeru Art Gallery Terms of Service

Neeru Art Gallery (“Gallery,” “we” or “our”) provides a service for viewing, selling and purchasing original works of art and commercially exploiting digital images of works of art through our website, accessible at [www.neeruartgallery.com] (the “Site”), our mobile application (the “Application”) together with any services, software, tools, features or functionality made available by Neeru Art Gallery (each, a “Service” and collectively, the “Services”). Please read carefully the following terms and conditions (“Terms”) and our Privacy Policy. These Terms, the Privacy Policy, and any other policies linked to herein, govern your access to and use of the Services, and constitute a binding legal agreement between you and Neeru Art Gallery.

Certain areas of the Services and your access to certain Services may have different terms and conditions posted. If there is a conflict between these Terms and the terms and conditions posted for a specific area, the latter shall take precedence.

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE AN AGREEMENT TO ARBITRATE, WHICH MEANS THAT YOU AGREE TO SUBMIT ANY DISPUTE RELATED TO YOUR USE OF THE SERVICES TO BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEED IN COURT. THIS SECTION ALSO INCLUDES A CLASS ACTION WAIVER AND A WAIVER OF YOUR RIGHTS TO A TRIAL BY JURY.

YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING OR USING THE SERVICES OR BY SELLING OR PURCHASING A WORK ON OR THROUGH THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS.

Modifications to these Terms

Neeru Art Gallery reserves the right, at its sole discretion, to modify, discontinue or terminate the Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on the Services or provide you with notice. By continuing to access the Services after a modification, you agree to be bound by the modified Terms.

Modifications to the Services

We reserve the right to change the URL, modify or discontinue, and restrict or block access to the Services without notice. We may modify or remove any Original Works of Art, Digital Works, or Member Content at any time, including content we believe to be obscene, violent, harassing, or otherwise objectionable.

Eligibility

The Services are intended solely for persons who are 18 or older. Any access to or use of the Services by anyone under 18 is expressly prohibited.

Account Registration

In order to list a work or make a purchase (other than guest checkout), you must create an account (“Account”). You agree to provide accurate, current and complete information. Neeru Art Gallery reserves the right to suspend or terminate your Account if any information proves to be inaccurate. You are responsible for safeguarding your password and take sole responsibility for any activities under your Account.

Seller Terms and Conditions

Listing Works on the Services

As a Member, you may submit listings for Original Works of Art or Digital Works that you have created. You may not submit listings for works created by another artist.

  • Verification: You may be required to verify your identity by providing a copy of a government-issued ID, tax identification, or VAT/GST ID.

​​

  • Marketing: Neeru Art Gallery reserves the right to promote and market works through the use of sales and/or discounts.

​​

  • Removal: You retain the right to remove a listing through your account settings.

Responsibility for Works

You acknowledge and agree that you are solely responsible for all works you make available. You represent and warrant that:

​

1.You are the creator and sole/exclusive owner of the work.

​​​

2.The work does not infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or rights of privacy/publicity.

Online Sales

By listing works, you grant Neeru Art Gallery a worldwide, transferable, nonexclusive, royalty-free right and license to:

  • Use, reproduce, distribute, and publicly display copies of the work for sale via various Sales Channels.

​​

  • Access, view, crop, and resize images of the work for the purpose of promoting Neeru Art Gallery and the Services.

Shipping: For Original Works of Art, Neeru Art Gallery will provide you with the purchaser's details. You agree to ship the work within seven (7) days (the “Shipping Period”). If you use a Gallery-preferred shipper, we will be responsible for shipping costs; otherwise, we will reimburse you up to the amount charged to the purchaser.

Artist Revenue Share: Following confirmation of delivery and expiration of the return period, Neeru Art Gallery will credit your Account with the applicable revenue share as determined by our standard pricing terms.

Purchaser Terms and Conditions

Purchases

When you purchase an Original Work of Art through the Services, you are purchasing the work from the Member identified on the listing and not from Neeru Art Gallery.

  • Pricing: Prices do not include shipping and handling or applicable Taxes (VAT/GST) unless indicated.

​​

  • Cancellations: We reserve the right to cancel any order if the item is mispriced, out of stock, or discontinued.

Color Accuracy

We use commercially reasonable efforts to display colors accurately. However, because computer monitors display colors differently, Neeru Art Gallery is not responsible for the color accuracy of any works displayed and disclaims all liability in this regard.

General Prohibitions

You agree not to:

  • Post or transmit any material that is fraudulent, false, misleading, defamatory, obscene, or promotes discrimination/hatred.

  • Use, display, or mirror the Gallery’s name, trademark, or logo without express written consent.

​

  • Attempt to probe, scan, or test the vulnerability of any Gallery system or network.

​

  • Avoid, bypass, or circumvent any technological measure implemented to protect the Services.

​

  • Collect or store personally identifiable information from other users without their express permission.

Resale Terms and Conditions

For sold artworks, a “Make an Offer” option may be displayed.

​

  • Resellers: If you accept a resale offer, you are responsible for packaging and coordination. You must deliver any Certificate of Authenticity that accompanied the original purchase.

​​

  • Artists’ Resale Payment: If you are the original artist of an Original Work sold on the Gallery, you will receive a payment for the resale of your work after a 7-day delivery clearance period.

Resolution of Disputes

Governing Law

These Terms will be governed by the laws of [Your State/Country], without regard to conflict of law provisions.

Agreement to Arbitrate

You and Neeru Art Gallery agree that any dispute that cannot be resolved informally within thirty (30) days will be settled by final and binding arbitration, except for matters relating to intellectual property infringement or small claims court qualifications.

  • Class Action Waiver: No arbitration or claim under these Terms will be joined to any other claim or proceed as part of a class action.

​​​

  • Jury Waiver: You and we waive the right to a judge or jury trial for all claims subject to arbitration.
